1. Identity of Operator

This website www.winwin-metal.com (the "Site") is operated by HYT Holdings Limited (华逸时代控股有限公司), a company incorporated in Hong Kong, with its registered office at Room D6, 2/F, Prosperous Industrial Building, 30 Man Yue Street, Hung Hom, Kowloon, Hong Kong ("we", "us", "our").

2. Scope of Services

We provide precision metal fabrication services including sheet metal fabrication, CNC machining, metal stamping, laser cutting, welding & assembly, and related surface treatments. All services are B2B contract manufacturing for business customers. We do not sell consumer products.

3. Website Use

• You must be at least 18 years old and have legal capacity to enter into binding contracts

• You agree not to upload malicious files, spam the RFQ form, or attempt unauthorized access

• All content on this Site (text, images, drawings, logos) is our intellectual property or used with permission

4. RFQ, Quotations & Contract Formation

• Quotation: Valid for 30 days unless otherwise stated, subject to DFM (Design for Manufacturability) review

• Contract Formation: A binding contract is formed only when: (a) you issue a formal Purchase Order (PO), AND (b) we issue a signed Proforma Invoice (PI) or written order confirmation

• Electronic Records: Under the Electronic Transactions Ordinance (Cap. 553), electronic records and signatures have the same legal status as paper-based counterparts

• Drawings & Specifications: You warrant that you have the right to share all technical drawings. We treat all drawings as confidential

5. Pricing & Payment

• All prices are quoted in USD unless otherwise agreed

• Payment terms: T/T, L/C, or agreed credit terms. For new customers, 100% advance or 50% deposit + 50% before shipment is standard

• Billing Descriptor: Transactions will appear as "WINWIN-METAL HYT" or "HYT Holdings Limited"

• Chargeback Policy: If you initiate a chargeback without first attempting to resolve the dispute with us in writing, we reserve the right to suspend all ongoing orders, recover legal costs, and pursue remedies under Hong Kong law

6. Lead Time & Delivery

• Lead times are estimates based on current capacity. We are not liable for delays caused by force majeure, material shortages, or customer-side drawing changes

• Default shipping term is EXW (Ex Works) our factory in Huizhou unless otherwise agreed

• Risk of loss transfers to the customer upon handover to the carrier

7. Quality Assurance & Acceptance

• We conduct IQC → IPQC → FQC full-process inspection

• First Article Inspection (FAI) reports available upon request

• Acceptance Period: You must notify us of any quality defects within 7 days of receipt. Failure to do so constitutes acceptance

• Remedies for non-conforming goods are limited to rework, replacement, or credit at our discretion. No refunds for custom-manufactured parts

8. Intellectual Property

• Your Drawings: You retain all IP rights. We will not use or disclose them except for fulfilling your order

• Our Know-How: We retain all rights in our DFM suggestions, tooling designs, and manufacturing processes

• NDA: A separate Non-Disclosure Agreement can be executed upon request

9. Limitation of Liability

• Our total liability shall not exceed the total amount paid for the specific order giving rise to the claim

• We are not liable for indirect, incidental, consequential, or punitive damages including loss of profits or production downtime

10. Force Majeure

We are not liable for any failure or delay due to events beyond our reasonable control, including natural disasters, war, terrorism, government actions, pandemics, labor disputes, or supply chain disruptions.

11. Indemnification

You agree to indemnify and hold harmless HYT Holdings Limited from any claims arising from your breach of these Terms, infringement of third-party IP rights, or violation of applicable laws.

12. Governing Law & Jurisdiction

13. Entire Agreement

These Terms, together with our Privacy Policy and any signed PO/PI, constitute the entire agreement between you and HYT Holdings Limited.

14. Severability

If any provision is found invalid, the remaining provisions shall continue in full force and effect.
