IP Protection Policy

1. Our IP Protection Commitment

As a B2B contract manufacturer operated by HYT Holdings Limited, we understand that your designs, drawings, and specifications are among your most valuable assets. We commit to:

• Never using your drawings, designs, or specifications for any purpose other than fulfilling your order

• Never disclosing your technical data to any third party without your written consent

• Never manufacturing your products for any other customer or for our own account

• Implementing physical, digital, and procedural safeguards at every production stage

2. Contractual Safeguards

2.1 Non-Disclosure Agreement (NDA)

We offer a mutual NDA upon request, executable before any technical data is exchanged. Our standard NDA covers:

• Confidentiality of all technical drawings, 3D models, and specifications

• Non-use and non-disclosure obligations for all employees, subcontractors, and factory personnel

• Term of 5 years post-disclosure (or longer if required by local patent law)

• Governing law: Hong Kong SAR

2.2 Purchase Order / Proforma Invoice Terms

Even without a separate NDA, our standard PO/PI terms include confidentiality clauses that survive contract completion.

2.3 Factory Access Controls

Our mainland production facility (Guangdong Huaxiang Precision Technology Co., Ltd.) operates under strict data access protocols:

• Production staff access drawings only on need-to-know basis via restricted terminals

• No USB drives, personal email, or cloud uploads permitted on production-floor computers

• Physical drawings are collected and shredded after production completion

3. Technical Safeguards

4. Personnel & Training

• All employees sign confidentiality agreements as a condition of employment

• Annual IP protection training is mandatory for engineering, sales, and production staff

• Breach of confidentiality is grounds for immediate termination and legal action

5. Subcontractor Management

If any part of your order requires subcontracting (e.g., specialty surface treatment), we:

• Disclose the subcontractor relationship to you upon request

• Require the subcontractor to sign a confidentiality undertaking

• Limit shared data to the minimum necessary for that specific process step

• Retain full liability for any subcontractor breach

6. Your IP Rights Remain Yours

You retain 100% ownership of all intellectual property you share with us, including:

• Design drawings, CAD files, and 3D models

• Material specifications and process requirements

• Tooling designs (owned by you unless otherwise agreed in writing)

• Trademarks, logos, and branding elements applied to products

7. Our IP Rights

We retain all rights in:

• Our DFM (Design for Manufacturability) suggestions and engineering recommendations

• Manufacturing processes, tooling designs (unless paid for by customer), and know-how

• Website content, including text, images, code, and layout

• The WINWIN-METAL brand, logo, and trademarks

8. Reporting IP Concerns

If you suspect a breach of your IP rights related to our services, contact: legal@winwin-metal.com

We will investigate within 5 business days and take immediate remedial action, including but not limited to cease of production, recall of materials, and legal proceedings.
